These Terms of Service ("Terms") are a legal agreement between you and Suayves LLC ("Company," "we," "us," or "our"), governing your use of our website at suayves.com and new.suayves.com, our mobile application ("App"), and our Heat IQ enterprise platform ("Heat IQ"), collectively the "Services." By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Description of Services
Consumer App (Suayves Hydration & Weather): A free mobile application available on iOS and Android that provides WBGT-based heat stress data, personalized hydration plans, and safety alerts. No account is required.
Heat IQ Enterprise: A paid SaaS platform that provides multi-site WBGT monitoring, automated safety alerts, and OSHA-compliant heat action plan tools for safety managers and enterprise teams. Access to Heat IQ is governed by a separate order form or enterprise agreement, which supplements and is incorporated into these Terms.
2. Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Consumer App — No Account Required
The consumer App does not require account creation. Any physiology data, hydration logs, or preferences you enter into the App are stored locally on your device and are not transmitted to or stored by Suayves LLC.
4. Heat IQ Enterprise — Account and Access
Access to Heat IQ requires an authorized enterprise account. Your organization's access is subject to the terms of your enterprise agreement, including the number of authorized users and worksites. You are responsible for maintaining the confidentiality of login credentials and for all activity that occurs under your account. Notify us immediately at support@suayves.com if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of applicable law
- Attempt to probe, scan, or test the vulnerability of any Suayves system
- Attempt to reverse-engineer, decompile, or disassemble any portion of the Services
- Use automated systems (bots, scrapers) to access the Services without our express written consent
- Impersonate any person or entity or misrepresent your affiliation
- Use the Services to store or transmit malicious code
- Interfere with or disrupt the integrity or performance of the Services
6. Intellectual Property
All content, software, algorithms, designs, trademarks, and other materials comprising the Services are the property of Suayves LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Services.
You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Services without our prior written consent.
7. Third-Party Data and Services
The Services incorporate data from third-party sources, including weather data providers and public standards organizations. We do not control and are not responsible for the accuracy, availability, or timeliness of third-party data. References to OSHA, the U.S. military, the NCAA, and other organizations are for informational context and do not imply endorsement.

You agree to indemnify and hold harmless Suayves LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
11. Service Availability
We strive to maintain high availability for the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or inconvenience resulting from service interruptions. Enterprise customers should refer to their order form or enterprise agreement for any applicable uptime commitments.
12. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 6, 8, 9, 10, and 14 survive termination.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Effective date" above. Material changes will be communicated via notice on the Website. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in San Luis Obispo County, California, and you consent to personal jurisdiction in those courts.
15. Entire Agreement
These Terms, together with our Privacy Policy, Disclaimer, and any applicable enterprise agreement, constitute the entire agreement between you and Suayves LLC regarding the Services and supersede all prior agreements and understandings.
